Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the Oniq service (the "Service") provided by ONIQ AI LTD, a company registered in England and Wales (company number 17084772) ("Oniq", "we", "us", or "our"), available at oniqai.com and its subdomains, at oniq.page, and on the subdomains of your own domain that you point to us.

By connecting an account, signing in to the dashboard, pointing a subdomain to us, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you are agreeing on behalf of a company, you represent that you are authorised to bind that company, and "you" refers to that company.

1. The Service

Oniq improves your website. With your authorisation it reads data from the marketing and analytics platforms you connect (such as Google, Meta and PostHog) and fetches the public pages of your website. From these we propose improvements to your pages and build page versions: new versions of your pages, shown in a dashboard next to your pages as they are today. We build them ourselves, by hand and with automated tools including AI.

When agreed with you, we publish a page version on a subdomain of your own domain that you point to us (for example go.your-company.com). There we can show it to some of your visitors and measure it against your current page (a "page test"). A page we publish carries your current page's own analytics and advertising tags, and our own analytics, so that its results can be measured.

We only read from the accounts you connect: we do not change them or run ads for you. We do not change your own website or its server. What we publish is served from the subdomain you point to us, and stops when you remove that record.

2. Eligibility and authority to connect accounts

You may only connect accounts that you own or are otherwise authorised to access and to permit us to read, and only point to us a domain you control. By connecting an account you represent and warrant that you have all necessary rights, consents, and authority to let Oniq read that account and its data, and that doing so does not violate any agreement or law. By pointing a subdomain to us you confirm that you control its domain and authorise us to serve pages on it. You are responsible for the accounts you connect and for maintaining the security of your own platform credentials.

3. Your responsibilities and acceptable use

You agree not to:

  • use the Service in violation of any law or third-party rights;
  • connect accounts you are not authorised to connect, or point to us a domain you do not control;
  • attempt to gain unauthorised access to the Service, other customers' data, or our systems;
  • interfere with or disrupt the integrity or performance of the Service; or
  • reverse engineer or copy the Service except as permitted by law.

You must also comply with the terms of the third-party platforms you connect (including Google's and Meta's terms and policies).

4. Pages we publish for you

When we publish a page version on your subdomain:

  • What it says is yours. The claims, prices, offers and figures on a page we build for you are yours to make, and must be true. Review a page version before it is published, and tell us if anything on it is wrong: we will change it or take it down.
  • Your visitors. Published pages run on your domain, for your visitors. You are responsible for telling them, in your own privacy notice and, where the law requires one, your cookie banner, about what the page carries: your own tags, our analytics (PostHog, on servers in the EU), and the cookie a page test uses to keep showing a visitor the same version. Where your current page's tags wait for your cookie banner, our analytics wait for it too; the page test cookie is set before the page loads, for every visitor. Our Privacy Policy (Section 3.10) describes what we collect there.
  • Stopping. We may stop a page test at any time, after which every visitor sees your current page, or take a published page down, after which its address sends visitors to the same path on your website. You can stop everything at once by removing the DNS record that points your subdomain to us.

5. Automated and AI output; no professional advice

Improvements, page versions and page test results are produced by people and by automated tools, including AI models. They are not a guarantee of any particular result, and they are not legal, financial, accounting, tax, or other professional advice. A page test's results are measurements, with the uncertainty any sample of visitors has. AI-generated output can contain errors or omissions: check it against your own judgement and data.

6. Your data and our deliverables

Your data. As between you and Oniq, you retain all rights to the data we read from your connected accounts and website, and to the data about your visitors on the pages we publish for you ("Customer Data"). You grant Oniq a limited, non-exclusive licence to access, process, store, and transmit Customer Data as necessary to provide the Service and as described in our Privacy Policy.

Deliverables. Subject to your payment of any applicable fees, we grant you a non-exclusive, non-transferable licence to use the improvements, page versions and other materials we make for you ("Deliverables") for your business, including on your own websites. The text, images and brand you give us remain yours.

Our platform. We retain all rights, title, and interest in the Service, our software, models, and methods, and any improvements to them. We may use aggregated and anonymised data that does not identify you or any individual to operate and improve the Service.

7. Confidentiality

Each party may receive information of the other that is confidential. Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms. This does not apply to information that is public through no fault of the receiving party, independently developed, or required to be disclosed by law.

8. Data protection

Our collection and use of personal information is described in the Privacy Policy, which is incorporated into these Terms. Where Oniq processes personal data on your behalf as a processor, including data about your visitors on the pages we publish for you, the parties will, on request, enter into a data processing agreement that governs that processing.

9. Fees

Any fees for the Service, together with payment terms and applicable taxes, are set out in a separate order or written engagement between you and Oniq. If no fees are stated, the Service is provided at no charge, and we may begin charging on reasonable prior notice.

10. Third-party platforms

The Service depends on third-party platforms (such as Google, Meta, PostHog and Cloudflare) and their APIs. We are not responsible for those platforms, their availability, or changes they make to their APIs or policies, which may affect the Service. Your use of those platforms is governed by their own terms.

11. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service, or a page we publish for you, will be uninterrupted or error-free, or that an improvement, page version or page test will achieve any particular outcome. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

12. Limitation of liability

To the maximum extent permitted by law, Oniq will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service. Our total liability arising out of or relating to these Terms will not exceed the greater of the amounts you paid us for the Service in the twelve months before the claim, or £100. These limits apply even if a remedy fails of its essential purpose.

13. Indemnification

You will defend, indemnify, and hold harmless Oniq from and against any claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your Customer Data, the claims made on pages we publish for you, your connection of accounts or domains you were not authorised to connect, or your breach of these Terms.

14. Term and termination

These Terms apply while you use the Service. You may stop using the Service and revoke our access at any time. We may suspend or terminate your access if you breach these Terms or if required for security, legal, or operational reasons. On termination, or on your request, we will stop serving pages on your subdomain and delete the tokens and keys for your connected accounts and your site's records, as described in the Privacy Policy (Section 9, which also names what we cannot yet remove). Sections that by their nature should survive (including Sections 6, 7, 11, 12, and 13) will survive termination.

15. Changes to the Service and to these Terms

We may modify the Service and update these Terms from time to time. We will change the "Last updated" date above and, for material changes, take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, subject to any mandatory consumer or data-protection rights you may have.

17. General

These Terms are the entire agreement between you and Oniq regarding the Service and supersede any prior agreements on that subject. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
