Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the Oniq marketing-audit service (the "Service") provided by ONIQ AI LTD, a company registered in England and Wales (company number 17084772) ("Oniq", "we", "us", or "our"), available at oniqai.com and its subdomains.
By connecting an account, signing in to the dashboard, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you are agreeing on behalf of a company, you represent that you are authorised to bind that company, and "you" refers to that company.
1. The Service
Oniq connects, with your authorisation, to the marketing and analytics platforms you use (such as Google and Meta), reads performance data on a read-only basis, crawls the public pages of the website you ask us to audit, and uses automated analysis (including AI) to produce prioritised growth recommendations, which we present in a dashboard. The Service does not run ads for you, modify your connected accounts, or place tracking on your website visitors.
2. Eligibility and authority to connect accounts
You may only connect accounts that you own or are otherwise authorised to access and to permit us to read. By connecting an account you represent and warrant that you have all necessary rights, consents, and authority to grant Oniq read-only access to that account and its data, and that doing so does not violate any agreement or law. You are responsible for the accounts you connect and for maintaining the security of your own platform credentials.
3. Your responsibilities and acceptable use
You agree not to:
- use the Service in violation of any law or third-party rights;
- connect accounts you are not authorised to connect;
- attempt to gain unauthorised access to the Service, other customers' data, or our systems;
- interfere with or disrupt the integrity or performance of the Service; or
- reverse engineer or copy the Service except as permitted by law.
You must also comply with the terms of the third-party platforms you connect (including Google's and Meta's terms and policies).
4. AI-generated recommendations; no professional advice
The Service produces recommendations generated by automated analysis and AI models. These recommendations are informational. They are not a guarantee of any particular result, and they are not legal, financial, accounting, tax, or other professional advice. You are solely responsible for reviewing any recommendation and for deciding whether and how to implement it. AI-generated output can contain errors or omissions; you should validate it against your own judgement and data before acting.
5. Your data and our deliverables
Your data. As between you and Oniq, you retain all rights to the data we read from your connected accounts and website ("Customer Data"). You grant Oniq a limited, non-exclusive licence to access, process, store, and transmit Customer Data as necessary to provide the Service and as described in our Privacy Policy.
Deliverables. Subject to your payment of any applicable fees, we grant you a non-exclusive, non-transferable licence to use the audit outputs and recommendations we deliver to you ("Deliverables") for your internal business purposes.
Our platform. We retain all rights, title, and interest in the Service, our software, models, and methods, and any improvements to them. We may use aggregated and anonymised data that does not identify you or any individual to operate and improve the Service.
6. Confidentiality
Each party may receive information of the other that is confidential. Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms. This does not apply to information that is public through no fault of the receiving party, independently developed, or required to be disclosed by law.
7. Data protection
Our collection and use of personal information is described in the Privacy Policy, which is incorporated into these Terms. Where Oniq processes personal data on your behalf as a processor, the parties will, on request, enter into a data processing agreement that governs that processing.
8. Fees
Any fees for the Service, together with payment terms and applicable taxes, are set out in a separate order or written engagement between you and Oniq. If no fees are stated, the Service is provided at no charge, and we may begin charging on reasonable prior notice.
9. Third-party platforms
The Service depends on third-party platforms (such as Google and Meta) and their APIs. We are not responsible for those platforms, their availability, or changes they make to their APIs or policies, which may affect the Service. Your use of those platforms is governed by their own terms.
10. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that recommendations will achieve any particular outcome. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
11. Limitation of liability
To the maximum extent permitted by law, Oniq will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service. Our total liability arising out of or relating to these Terms will not exceed the greater of the amounts you paid us for the Service in the twelve months before the claim, or £100. These limits apply even if a remedy fails of its essential purpose.
12. Indemnification
You will defend, indemnify, and hold harmless Oniq from and against any claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your Customer Data, your connection of accounts you were not authorised to connect, or your breach of these Terms.
13. Term and termination
These Terms apply while you use the Service. You may stop using the Service and revoke our access at any time. We may suspend or terminate your access if you breach these Terms or if required for security, legal, or operational reasons. On termination, or on your request, we will delete your account folder (its stored runs and tokens) and associated records as described in the Privacy Policy. Sections that by their nature should survive (including Sections 5, 6, 10, 11, and 12) will survive termination.
14. Changes to the Service and to these Terms
We may modify the Service and update these Terms from time to time. We will change the "Last updated" date above and, for material changes, take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. Governing law and disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, subject to any mandatory consumer or data-protection rights you may have.
16. General
These Terms are the entire agreement between you and Oniq regarding the Service and supersede any prior agreements on that subject. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
